The St. Paul, Minneapolis and Manitoba Railway Company was organized in 1879; its incorporation was confirmed by the Minnesota state legislature in 1881. The company's primary purpose was to assume the properties, franchises and charter rights of the St. Paul and Pacific Railroad Company and the latter's First Division.
